1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and YESONUS LLC, a California limited liability company doing business as YESONUS Dental Elite ("YESONUS," "we," "us," or "our"). They govern your access to and use of our website at yesonus.com, our text messaging program, and the reimbursement-advocacy services we provide (collectively, the "Services"). By accessing the website, submitting your information, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.

2. What we do — and what we are not

YESONUS helps patients pursue reimbursement from Medicare for medically necessary dental procedures. We provide advocacy, case preparation, and guidance in connection with submitting reimbursement requests on your behalf.

We are not a law firm, an accounting firm, a medical provider, or an insurer, and we do not provide legal, tax, or medical advice. Nothing we provide is a substitute for advice from a licensed attorney, accountant, or healthcare professional. We are not affiliated with, or endorsed by, Medicare, the Centers for Medicare & Medicaid Services, or any government agency. We do not control and cannot guarantee any reimbursement decision or outcome, which is determined solely by Medicare under its own coverage rules.

3. Eligibility and your representations

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that the information you provide is true, accurate, and complete, that you are the patient (or the patient's duly authorized representative), and that you have the legal right to share the information and authorizations you submit to us.

4. Authorization you grant us

To prepare and submit a reimbursement request, you authorize YESONUS and our service providers to request, receive, and use your dental and medical records, insurance information, and related documentation, and to communicate and act on your behalf with healthcare providers and with Medicare, solely for the purpose of providing the Services. The specific scope of any records-release authorization is described in the authorization you sign during signup. You may withdraw an authorization on a going-forward basis by contacting us, though doing so may prevent us from continuing the Services.

5. Fees and billing

Fees for our Services are flat and disclosed to you before you pay. Your service tier is based on your Medicare reimbursement amount, not a percentage of any recovery, and we do not take a contingency cut of your reimbursement. Payments are processed by a secure third-party payment provider; we do not store full payment card numbers. You authorize us (through that provider) to charge the payment method you provide for the fees disclosed to you. You are responsible for any taxes associated with the Services other than taxes on our income.

6. Refunds & our Work Guarantee

Service fees are charged for the work we perform — thorough case preparation and a complete, correct submission to Medicare on your behalf — and are non-refundable. We guarantee the quality of that work. We do not and cannot guarantee a reimbursement outcome, because reimbursement is determined solely by Medicare under its own coverage rules.

Before taking a case on, we assess it honestly and will tell you if we do not believe a credible claim can be prepared. This Work Guarantee does not apply to any optional paid consultation that is separately disclosed to you as non-refundable.

7. Text messaging (SMS) terms

Program: The YESONUS patient updates program sends text messages about your records request, account, signup link, reimbursement status, and appointment reminders.

Opt-in: By providing your phone number and checking the SMS consent box on our signup form (or texting START to (510) 694-8111), you agree to receive recurring automated SMS text messages from YESONUS, as described in our Privacy Policy. Consent to receive texts is optional and is not a condition of any purchase or of using our Services.

Verbal and in-person opt-in: You may also opt in by giving a YESONUS representative your spoken consent during a phone call, or in person, after we describe the texting program, its message frequency, that message and data rates may apply, and how to reply STOP to opt out or HELP for help. We record your consent and the date it was given. As with web opt-in, verbal and in-person consent is optional and is not a condition of any purchase or of using our Services.

Message frequency varies. Message and data rates may apply.

Opt-out: Reply STOP at any time to cancel. To rejoin, reply START or sign up again on our website. For help, reply HELP or call (510) 694-8111.

Carriers are not liable for delayed or undelivered messages. No mobile information or SMS opt-in/consent data will be shared with any third parties for marketing or promotional purposes.

8. Acceptable use

You agree to use the Services only for your own legitimate reimbursement needs and in compliance with all applicable laws. You agree not to submit false or misleading information, impersonate any person, interfere with or disrupt the Services, attempt to gain unauthorized access to our systems, or use the Services to violate the rights of others.

9. Intellectual property

The website, its content, the YESONUS and YESONUS Dental Elite names and logos, and all related materials are owned by YESONUS LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works from our materials without our prior written consent.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any reimbursement will be approved. Nothing on the website or in the Services is legal, tax, or medical advice.

11. Limitation of liability

To the fullest extent permitted by law, YESONUS LLC and its members, managers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost reimbursements, or loss of data, arising out of or relating to the Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services will not exceed the total amount of fees you paid to us for the Services giving rise to the claim in the twelve (12) months before the event giving rise to liability. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless YESONUS LLC and its members, managers, employees, and service providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to information you provide that is false or misleading, your breach of these Terms, or your misuse of the Services.

13. Dispute resolution

If a dispute arises, we ask that you first contact us so we can try to resolve it informally; most concerns can be addressed quickly that way. If we cannot resolve a dispute informally within sixty (60) days, either party may pursue available legal remedies subject to the governing-law and venue provisions below. Nothing in this section limits your rights under applicable consumer-protection law.

14. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that proceeds in court will be the state or federal courts located in Sacramento County, California, and you and YESONUS consent to the personal jurisdiction of those courts.

15. General

If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will stay in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any authorization you sign, are the entire agreement between you and YESONUS regarding the Services.

16. Changes

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
